It is also HIGHLY RECOMMENDED that lightning/surge suppression be used on all RF cables and power lines connected to your system, along with correct and adequate system grounding. It is also recommended that power line conditioning include RFI/EMI filtering in addition to surge suppression. RF cables should be provided with lightning/surge suppression at the point closest to penetration of the building, with adequate provision for grounding.(DO NOT connect the surge suppresser device ground leg to your equipment/chassis or power ground. Connect directly to an earth ground. A cold water pipe is a marginally acceptable alternative if connection is made immediately adjacent to penetration from the outside of the building. SYSTEM GROUNDING WARNING: It is necessary that your system be installed with correct and adequate grounding. Do not eliminate or bypass the ground on any three-prong power cords. If installing an external WEFAX dish, be sure that the dish and mount are adequately grounded at the dish location, preferably with 8Ga - 4Ga stranded copper wire. APT antenna masts and mounts should also be grounded in a similar fashion. IF USING A 220V/110V STEPDOWN TRANSFORMER, be sure to maintain system grounding; the secondary output should provide a correctly earth grounded three-pronged outlet. ESPECIALLY when using a non- isolated/center-tap stepdown transformer, BE CERTAIN THAT THE PRIMARY POLARITY IS CORRECT, or you will be connecting primary HOT with secondary NEUTRAL . PERMITTED USES: You may operate the software only on a single computer workstation in conjunction with the assigned license. If the computer is part of a network, each computer must have its own separate license. The software is provided an assigned license implicitly via one of two methods; METHOD A: a security key (dongle) which plugs into your computer's parallel printer port, -OR- METHOD B: a CRYPKEY SYSTEM SITE KEY dependent upon your CRYPKEY SITE CODE. You may transfer either assigned license to any single workstation at any time, but the same assigned license can be active only on a single system at any given time. You may make unlimited copies of the software for backup purposes only. You may not disassemble, merge, convert, or otherwise modify the binary executable code furnished with the software without the written consent of SFWX, INC. TERMS AND CONDITIONS OF LICENSE AND WARRANTY 1. LICENSE GRANT: Title to the software ("Licensed Software") is not transferred to the Customer. Customer is granted a non-exclusive license to use the Licensed Software on a single computer workstation. If the Licensed Software is shared between multiple computer workstations on a communications network, each computer workstation must have its own, separately Licensed Software. 2. COPYING RESTRICTIONS: Customer may copy the Licensed Software, in whole or in part, only for backup and archival purposes. An unlimited number of copies may be made, but each copy shall include, in readable format, any and all confidential, proprietary and copyright notices or markings contained on the original distribution copy. TRANSFER OF LICENSED SOFTWARE: Customer may transfer the Licensed Software provided that (i) this Agreement is transferred with the Licensed Software, (ii) the transferee fully accepts the terms and conditions of this Agreement, and (iii) all complete or partial copies of Licensed Software, including copies on data storage devices, are also transferred or destroyed. CUSTOMER COMMUNICATION OF RESTRICTIONS: Customer agrees to communicate, within reason, the restricted conditions of this Agreement to those persons employed by the Customer, or under Customer's direction and control, that come into contact with the Licensed Software. 5. CUSTOMER COMPLIANCE AND UNAUTHORIZED USE: Customer agrees to use all reasonable efforts to insure that persons employed by Customer, or under Customer's direction and control, abide by the terms and conditions of the Software License Agreement including, without limitation, not knowingly permitting anyone to use any portion of the Licensed Software for the purpose of deriving its source code. In the event the Customer becomes aware that the Licensed Software is being used by such persons in a manner not authorized by this Agreement, Customer shall immediately notify SFWX, Inc. in writing of the unauthorized use in the event that such unauthorized use continues for an unreasonable period after Customer becomes aware thereof. 6. THIRD PARTY SOFTWARE: The Licensed Software is protected by Copyright and other proprietary rights of SFWX, Inc, as well as third parties. The Customer may be held directly responsible by such third parties for acts relating to the Licensed Software which are not authorized by this Agreement. Specifically, this refers to such third parties as Kenonic Controls and Aladdin Knowledge Systems, Ltd., whose binaries are distributed with the WeatherTrac-WIN32 software as a means of licensing the software. 7. LIMITED WARRANTY: SFWX, Inc. hereby warrants that, for a period of ninety (90) days from the date of delivery to Customer, the Licensed Software shall materially conform to the performance defined in pertinent documentation relating thereto (manuals, guides, exclusion documents, and computer-aided instructions). SFWX, Inc.. does not warrant that the operation of the Licensed Software will be uninterrupted or error-free. Customer's sole and exclusive remedy for failure of the Licensed Software to materially conform to the performance defined in the pertinent documentation is for Customer to return the Licensed Software and associated materials, including WeatherTrac Interface, to SFWX, Inc. and notify SFWX, Inc. in writing of such non-conformity within ninety (90) days of delivery to Customer. SFWX, Inc.'s sole obligation shall be, at SFWX, Inc.'s option, within a reasonable time after SFWX, Inc. receives the notice of non-conformity, to either provide Customer with Licensed Software which conforms to the express warranty above or refund to Customer the net amount paid therefor. In the event of a refund, this Agreement shall be considered terminated and Customer, if it has any copies of the Licensed Software and/or related materials, shall promptly deliver to SFWX, Inc. and/or destroy all such copies in whatever form they may be and warrant in writing to SFWX, Inc. within thirty (30) days of termination that all such copies of the Licensed Software have either been returned or destroyed. 8. DISCLAIMER OF OTHER WARRANTIES: THE EXPRESS LIMITED WARRANTY SET FORTH IN PARAGRAPH 7 IS IN LIEU OF ALL OTHER EXPRESS WARRANTIES. THE IMPLIED WARRANTY OF MERCHANTABILITY IS LIMITED TO THE DURATION OF THE EXPRESS LIMITED WARRANTY. SFWX, INC. PATENT AND COPYRIGHT INDEMNIFICATION: SFWX, INC. will defend Customer from, and pay any ultimate judgment for, infringement in the United States by the Licensed Software of any patent, trade secret, or copyright, if Customer promptly notifies SFWX, Inc. in writing of any alleged infringement, allows SFWX, Inc. to defend, and cooperates with SFWX, Inc. SFWX, Inc. is not responsible for any non-SFWX, Inc. litigation expenses of settlements unless SFWX, Inc. agrees to them in writing. To avoid infringement, even if not alleged, SFWX, Inc. may, at its option, and at no charge to Customer, obtain a license, or modify, or substitute an equivalent of, or remove the Licensed Software. If Licensed Software is removed by SFWX, Inc. for this reason, the software license fees paid by Customer will be fully refunded. SFWX, Inc. is not liable for any infringement due to the Licensed Software being made or modified (by SFWX, Inc. or others, including Customer) to Customer specifications, or being used or sold in combination with equipment, software, or supplies not provided by SFWX, Inc. SFWX, INC. HAS NO OTHER EXPRESS OR IMPLIED WARRANTY OF NON-INFRINGEMENT OR LIABILITY FOR INFRINGEMENT OR ANY DAMAGES THEREFROM. 11. LICENSED SOFTWARE UPDATES: At SFWX, Inc.'s sole discretion, SFWX, Inc. shall provide Customer with updates of the Licensed Software. SFWX, Inc. retains the right to provide the Licensed Software updates for a fee. Customer may refuse to accept such Licensed Software updates. 12. CUSTOMER SELECTION OF LICENSED SOFTWARE: Customer is solely responsible for selection of the Licensed Software to achieve Customer's intended results. SFWX, INC. provides public/anonymous download access via Internet to its software on a free 30 day trial basis for this purpose. 13. DISCLAIMER: IN NO EVENT SHALL SFWX, INC. BE LIABLE TO CUSTOMER FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES IN ANY WAY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE LICENSED SOFTWARE. IN ADDITION, SFWX, INC.'S LIABILITY TO CUSTOMER FOR DIRECT DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE LICENSED SOFTWARE SHALL IN NO EVENT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY CUSTOMER FOR THE LICENSED SOFTWARE. 14. GREATER DAMAGE RIGHTS: Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to Customer. 15. ENTIRE AGREEMENT: This Agreement is the entire agreement between SFWX, Inc. and Customer pertaining to the Licensed Software and supersedes all proposals or prior and contemporaneous agreements or understandings of the parties regarding the Licensed Software. CUSTOMER AGREES THAT ANY TERMS AND CONDITIONS CONTAINED IN ANY CUSTOMER PURCHASE ORDER OR OTHER ORDERING DOCUMENT SUBMITTED PURSUANT HERETO SHALL HAVE NO BINDING EFFECT ON SFWX, INC. AND WILL NOT MODIFY THIS AGREEMENT IN ANY WAY. 16. GOVERNING LAW: This Agreement will be governed by the laws of the Commonwealth of Pennsylvania.
