SOFTWORKS, INC. , a PA CORP., Announces Change of Corporate
Name to SFWX, INC.
Change in mark aligns Corporate name with Internet Domain Name.
May 23, 1997 -- Allentown, PA. Amended Articles of Incorporation were filed today with the Department of State Corporation Bureau of the
Commonwealth of Pennsylvania, changing the corporate legal name for the entity incorporated in PA on February 22, 1983 from SOFTWORKS, INC. to
SFWX, INC. The reasons for this change are as follows:
- To align our corporate name with our Internet Domain name (sfwx.com).
- To select for our corporate name a mark today unique in conjunction with our federal application for trade and service mark registration.
- To abandon use of the confusing mark SOFTWORKS, in common and frequent use throughout the United States by possibly hundreds of unrelated
companies, as documented recently by over 8,500 random unrelated hits on an Alta-Vista search. As was apparent soon after we incorporated in
February 1983, the mark SOFTWORKS was all but useless as a unique identifier for marketing purposes, so we limited our use of it to corporate legal
documents and amended the qualifier (A PA CORP.) to render our use of the mark unique and unconfusing from the public perspective. This trivial
usage of the mark was regarded as sufficient for the corporation's purposes until a recent search of the Internet revealed how muddy and potentially
misleading to the public continued use of this mark had become. Therefore, it was decided to identify and select a new and unique trade and service
mark for corporate use. Since our current Internet domain name met this requirement, the decision was quickly reached to select SFWX, INC. as the
new corporate name, and to apply for federal registration of the trade and service mark "SFWX" for the use of the corporation.
- As it turns out, changing ones corporate name, especially when used only on corporate legal documents, is a lot easier and causes a lot less angst than
changing ones domain name. When this and other issues were brought out by our attorneys during the discussion of a recent weak infringement matter,
we quickly realized what the true issue was and easily abondoned the muddy mark SOFTWORKS. Since our continuous trivial use of the mark
SOFTWORKS from prior to our incorporation in 1983 until now could not possibly be interpreted as predatory in nature, especially against the latest
holders of a federally registered mark not even applied for at the time of our name registration in PA(unless we could be shown to be prescient), we
were confident that application of the Mead Data Test in the context of the latest 1996 Dilution Law to our use of the mark would permit our continued
trivial use of the mark in perpetuity. However, the true issue became, of what use to anyone, the corporation and public included, is a mark that returns
over 8500 unrelated and random hits on Alta Vista? Not wanting to get involved in the meaningless, unproductive and possibly hopeless legal
discussions over the attempted resurrection of this now exceptionally muddy mark, we chose instead to select a clean mark and get back to business.
- To boldy face the new millennium without vowels. Vowels? We don't need no stinking vowels. The Corporation Formerly Known as Softworks, Inc. (a
PA Corp) and now SFWX, INC. invites you to feel free to pronounce it any way you want.
Meanwhile, we will continue to market our primary product line under the registered d.b.a. "WeatherTrac Industries".
